Resignation of Director — DIR-11 & DIR-12 ROC Filing | Beyonte Compliances
Company Law · Board Governance

Resignation of Director process a director's resignation with complete statutory compliance.

A director may resign from office at any time by giving written notice to the company. The resignation is effective from the date the notice is received — or from a later date specified by the director. Both the resigning director and the company have separate filing obligations: the director must file DIR-11 within 30 days, and the company must file DIR-12 within 30 days of receipt of the resignation.

Contact Us

Failure to file DIR-12 within 30 days attracts additional fees and potential penalties. The company must also update its Register of Directors to record the cessation — and review its board composition to confirm the statutory minimum director requirement is still met.

At Beyonte Compliances, we manage the complete resignation process — from drafting the resignation letter and processing the board's acknowledgement to filing DIR-11 and DIR-12 within the prescribed timelines and updating the Register of Directors.
