Frequently Asked Questions

The NCLT has jurisdiction over mergers and amalgamations, oppression and mismanagement, winding up, reduction of capital, IBC (CIRP and liquidation), class action suits, rectification of register, and appeals against ROC and Adjudicating Officer orders, among others.
An appeal against an NCLT order must be filed before the NCLAT within 45 days of the receipt of the order, with the possibility of condoning a further delay of 45 days for sufficient cause.
Compounding (Section 441) is a separate civil penalty mechanism and does not preclude NCLT proceedings on other grounds. However, compounding an offence may support the company's bona fides in related NCLT proceedings.
The NCLT is the first-instance tribunal hearing company law and IBC matters. The NCLAT is the appellate tribunal hearing appeals against NCLT orders. Further appeals from NCLAT lie to the Supreme Court of India on questions of law.
