A trademark assignment is the transfer of ownership of a trademark — registered or pending — from one party (the assignor) to another (the assignee). Assignments can be with goodwill (where the assignee also acquires the business associated with the mark) or without goodwill (where only the mark is transferred). In India, all trademark assignments must be in writing and, for registered marks, must be recorded with the Trade Marks Registry by filing a TM-P application.

An assignment without goodwill transfers only the mark, without the associated business.
